Scope Terms of Use
1. Acceptance of Terms
These Terms of Use (“Terms”) govern your access to and use of Scope’s software, platform, websites, applications, and related services (“Services”). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Changes to Terms
Scope may update these Terms from time to time. Changes become effective upon posting. Continued use of the Services constitutes acceptance of the updated Terms.
3. Access to the Services
3.1 Eligibility You must be at least 18 years old and legally able to enter into binding agreements to use the Services. 3.2 Account Registration You must create an account to access certain features. You agree to provide accurate information and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all actions taken under your account. 3.3 Service Availability Scope aims to provide reliable Services but does not guarantee uninterrupted availability. Access may be suspended for maintenance, updates, or factors outside our control.
4. License and Permitted Use
4.1 License Grant Scope grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms. 4.2 Customer Responsibilities You agree to: • Use the Services only for lawful purposes • Comply with all applicable laws and regulations • Ensure your users comply with these Terms • Maintain the security of your devices, networks, and access credentials • Back up any content you upload or store within the Services 4.3 Restrictions You may not: • Copy, modify, or create derivative works of the Services • Reverse-engineer, decompile, or analyze the Services • Interfere with or disrupt the Services or underlying infrastructure • Access the Services to build a competing product • Attempt to bypass authentication, authorization, or security measures • Use the Services to transmit malicious, harmful, or infringing content • Resell, sublicense, or distribute the Services to third parties without permission
5. Customer Data
5.1 Ownership You retain all rights to data, files, content, and materials you upload, submit, or process through the Services (“Customer Data”). Scope does not claim ownership over Customer Data. 5.2 Scope’s Use of Customer Data You grant Scope a limited, non-exclusive right to process Customer Data solely for: • Providing and maintaining the Services • Improving performance and user experience • Ensuring security and compliance • Supporting your account and resolving issues Scope does not sell or use Customer Data for advertising or unrelated purposes. 5.3 Responsibility for Customer Data You are responsible for ensuring that Customer Data is accurate, lawful, and does not infringe the rights of others.
6. Third-Party Integrations
Scope may integrate with third-party platforms (such as communication, storage, CRM, or meeting systems). You acknowledge that: • Your use of those systems is governed by their own terms • Scope accesses only the data you authorize through each integration • Scope is not responsible for outages or failures of third-party platforms • You are responsible for maintaining necessary permissions and credentials
7. Intellectual Property
The Services, including software, code, design, documentation, and all related intellectual property, are owned by Scope or its licensors. No rights are granted except those expressly stated in these Terms. You may not remove, obscure, or alter any proprietary notices.
8. Privacy and Data Protection
Scope processes personal information in accordance with its Privacy Policy. By using the Services, you consent to such processing.
9. Confidentiality
Each party agrees to maintain the confidentiality of non-public information obtained through the use of the Services. Confidential information may not be disclosed to third parties except as required by law or with written consent.
10. Fees and Payment
If your access to the Services requires payment: • Fees will be defined in your order form, subscription plan, or agreement • All fees are non-refundable unless required by law • Late payments may result in suspension of access • Subscription fees may automatically renew unless canceled as stated in the applicable plan
11. Suspension and Termination
Scope may suspend or terminate access to the Services if: • You violate these Terms • You fail to pay applicable fees • Your use poses a security or operational risk • Required by law or regulatory authorities You may terminate your account at any time by notifying Scope. Upon termination, Customer Data will be deleted according to Scope’s data retention and deletion procedures.
12. Disclaimers
The Services are provided “as is” and “as available.” Scope does not make any warranties, express or implied, including warranties of: • Merchantability • Fitness for a particular purpose • Non-infringement • Accuracy, reliability, or availability of the Services • Compatibility with third-party platforms or systems You are solely responsible for determining whether the Services meet your requirements.
13. Limitation of Liability
To the maximum extent permitted by law: • Scope is not liable for indirect, incidental, consequential, special, punitive, or exemplary damages • Scope’s total liability for any claim arising out of these Terms or your use of the Services is limited to the amount you paid to Scope in the twelve months preceding the claim • Scope is not responsible for data loss, service interruptions, third-party failures, or unauthorized access resulting from your actions or configuration These limitations apply regardless of the legal theory and even if Scope has been advised of the possibility of such damages.
14. Indemnification
You agree to indemnify, defend, and hold Scope harmless from any claims, damages, costs, or liabilities arising out of: • Your misuse of the Services • Your violation of these Terms • Your infringement of third-party rights • Customer Data or content submitted through your account
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
16. Entire Agreement
These Terms constitute the entire agreement between you and Scope regarding your use of the Services and supersede all prior agreements or representations.
